Terms of Service
These Terms of Service ("Terms") form a legally binding agreement between you and Webmatx Ltd ("Webmatx", "we", "us") governing your use of our website at webmatx.com, our AI website builder platform at app.webmatx.com, and any professional services we provide.
By creating an account or using our services you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use our services.
1. Our Services
Webmatx provides two categories of service:
- AI Website Builder Platform — a subscription service that generates, hosts, and manages websites for small businesses using artificial intelligence
- Professional Services — bespoke software development including custom CRMs, mobile apps, AI agents, MVP builds, and membership systems, delivered under separate project agreements
2. Accounts
- You must be at least 18 years old and have legal capacity to enter into a contract
- You are responsible for maintaining the security of your account credentials
- You must provide accurate information when creating an account
- You must not share your account with others or create accounts for unauthorised purposes
- We reserve the right to suspend or terminate accounts that violate these Terms
3. Platform Subscriptions
Plans and pricing. Subscription plans and prices are displayed at app.webmatx.com/pricing. All prices are shown in GBP and include VAT where applicable.
Billing. Subscriptions are billed monthly in advance. Payment is processed by Stripe. By subscribing you authorise us to charge your payment method on a recurring basis.
Free trial. Where a free trial is offered, your site will be deployed for the trial period. At the end of the trial, your site will be taken offline unless you subscribe to a paid plan.
Cancellation. You may cancel at any time from your dashboard. Your subscription will remain active until the end of the current billing period. We do not provide refunds for partial months.
Refunds. We do not offer refunds except where required by law. If you believe you have been charged in error, contact us within 14 days at [email protected].
Price changes. We may change subscription prices with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.
4. Domain Names
Domain name registrations and renewals are separate from hosting subscriptions. Domain prices are quoted at the time of registration and include a handling fee above registrar cost. Domain fees are non-refundable once registration is complete. If you cancel your subscription, domain management transfers to you directly.
5. AI-Generated Content
Our platform uses AI to generate website copy, structure, and design based on information you provide. You acknowledge that:
- AI-generated content may not always be accurate — you are responsible for reviewing and correcting your website content before publishing
- You retain ownership of the final published website content
- You must not use the platform to generate content that is unlawful, defamatory, fraudulent, or that infringes third-party rights
- We do not guarantee specific search engine rankings or traffic outcomes
6. Acceptable Use
You must not use our services to:
- Publish content that is illegal, harmful, harassing, or discriminatory
- Infringe intellectual property rights of third parties
- Send spam or unsolicited communications
- Attempt to gain unauthorised access to our systems
- Impersonate another person or organisation
- Engage in any activity that could damage, overload, or impair our platform
We reserve the right to remove content or suspend accounts that violate these rules without notice.
7. Intellectual Property
Your content. You retain ownership of all content you provide to us (business descriptions, logos, photos). You grant us a licence to use this content to deliver the services.
Generated websites. Once published, you own the website content generated for you. Our underlying platform, code, templates, and AI systems remain our intellectual property.
Our brand. You may not use the Webmatx name, logo, or trademarks without our prior written consent.
8. Professional Services
Bespoke development projects (CRM, mobile apps, AI agents, etc.) are governed by separate written agreements ("Project Agreements") that specify scope, deliverables, timeline, and payment. These Terms apply to the extent not superseded by a Project Agreement. Intellectual property ownership for bespoke projects will be specified in the relevant Project Agreement.
9. Uptime and Service Availability
We aim to maintain 99.9% uptime for hosted websites but do not provide a formal SLA on Starter or Pro plans. We carry out maintenance with reasonable advance notice where possible. We are not liable for downtime caused by third-party infrastructure providers (Vercel, Cloudflare, Supabase) or events outside our reasonable control.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential losses including loss of revenue, profits, or business opportunity
- Our total liability to you arising from these Terms or any service shall not exceed the total fees paid by you to us in the 12 months preceding the claim
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law
11. Indemnity
You agree to indemnify and hold harmless Webmatx and its officers, employees, and agents from any claim, loss, or expense (including legal fees) arising from your breach of these Terms, your content, or your misuse of our services.
12. Termination
Either party may terminate the service at any time. On termination: your access to the platform ceases, your website will be taken offline, and your data will be retained for 30 days then deleted (except where we are legally required to retain it). You may request an export of your website content before termination.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance. The current Terms are always available at webmatx.com/terms.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
