Terms of Service
These Terms of Service ("Terms") form a legally binding agreement between you and Webmatx Ltd ("Webmatx", "we", "us") governing your use of our website at webmatx.com, our AI website builder platform at app.webmatx.com, and any professional services we provide.
By creating an account or using our services you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use our services.
1. Our Services
Webmatx provides two categories of service:
- AI Website Builder Platform — a subscription service that generates, hosts, and manages websites for small businesses using artificial intelligence
- Professional Services — bespoke software development including custom CRMs, mobile apps, AI agents, MVP builds, and membership systems, delivered under separate project agreements
2. Accounts
- You must be at least 18 years old and have legal capacity to enter into a contract
- You are responsible for maintaining the security of your account credentials
- You must provide accurate information when creating an account
- You must not share your account with others or create accounts for unauthorised purposes
- We reserve the right to suspend or terminate accounts that violate these Terms
3. Platform Subscriptions — Pricing, Billing & Refunds
Plans and pricing. Current subscription plans and prices are shown at app.webmatx.com/pricing. All prices are in GBP. Prices shown exclude VAT. VAT at the prevailing UK rate will be added at checkout where applicable.
Free preview. You can generate and preview your website before paying a penny. The preview is hosted on a free subdomain (e.g. yourbusiness.webmatx.com). No credit card is required for the preview.
Billing cycle. Paid subscriptions are billed monthly in advance on the date you first subscribed. Payment is processed securely by Stripe. By subscribing you authorise us to charge your saved payment method on a recurring monthly basis until you cancel.
Failed payments. If a payment fails, we will retry automatically over the following 7 days. If payment remains unsuccessful after retries, your subscription will be paused and your site taken offline until payment is resolved. You will be notified by email before any action is taken.
Plan upgrades. You may upgrade your plan at any time from your dashboard. When upgrading mid-cycle, you will be charged a prorated amount for the remainder of the current billing period. The new plan takes effect immediately.
Plan downgrades. Downgrades are not currently available in-dashboard. Please contact us at [email protected] to request a downgrade, which will take effect at the next renewal date.
Cancellation. You may cancel your subscription at any time from your dashboard — no notice period required. On cancellation, your subscription will remain active until the end of the current billing period, after which your website will be taken offline. You will not be charged again once you cancel. We do not provide refunds for any unused portion of a billing period already paid for.
Right to cancel (consumers). If you are a consumer (not purchasing in the course of a business), you have the right to cancel your contract within 14 days of subscribing without giving any reason under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. However, if you have asked us to begin providing the service before the 14-day period expires (which includes generating your website or going live), you acknowledge that your right to cancel may be lost once the service has been fully performed, or that a proportionate charge will apply for the part of the service already delivered. To exercise this right, contact us at [email protected] before the 14 days expire.
Refunds. Refunds are only available within 14 days of your initial subscription payment, in line with your statutory cancellation rights described above. After 14 days, no refunds are issued for subscription fees — you may cancel at any time and retain access until the end of your billing period. Domain registration fees are non-refundable once registered. If you believe you have been charged in error, contact us within 14 days at [email protected] and we will investigate promptly. Confirmed billing errors will be refunded within 5 business days. To request a refund, email [email protected] with your account email and the reason for your request.
Price changes. We reserve the right to change subscription prices. We will give you at least 30 days' written notice by email before any price increase takes effect. If you do not wish to continue at the new price, you may cancel before the increase applies and you will not be charged at the new rate. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.
Chargebacks. If you initiate a chargeback with your card issuer without first contacting us to resolve the issue, we reserve the right to suspend your account pending resolution and to dispute the chargeback. We always prefer to resolve issues directly — please email us first.
4. Domain Names
Separate charge. Domain name registration and annual renewal are charged separately from your hosting subscription. The price shown at checkout includes the registrar cost plus a small handling fee. Domain prices are confirmed before you commit.
When you are charged. Domain fees are charged at the point of subscription — not during the free preview. If you cancel your subscription before your domain is registered, no domain charge will be made.
Non-refundable. Once a domain has been registered with the registry, the registration fee is non-refundable. Registrations are processed immediately through our registrar partner (Openprovider) and cannot be reversed once submitted to the registry.
Registrar. Domain registrations are processed by Openprovider B.V. (Netherlands), acting as your registrar. Webmatx manages the technical setup on your behalf. The domain is registered in your name and remains yours if you cancel.
Renewals. Domains renew automatically each year. You will receive a reminder email at least 30 days before renewal and will be charged automatically 14 days before expiry. To cancel auto-renewal, contact us at [email protected] at least 21 days before the renewal date.
Ownership and transfer. Your domain belongs to you. If you cancel your subscription, we will transfer management of your domain to you or a registrar of your choice at no additional charge. You will not lose your domain if you cancel hosting.
5. AI-Generated Content & Data Processing
Our platform uses AI to generate website copy, structure, and design based on information you provide. You acknowledge that:
- AI-generated content may not always be accurate — you are responsible for reviewing and correcting your website content before publishing
- You retain ownership of the final published website content
- You must not use the platform to generate content that is unlawful, defamatory, fraudulent, or that infringes third-party rights
- We do not guarantee specific search engine rankings or traffic outcomes
What data is sent to the AI. To generate your website, we send the following information to our AI provider (Anthropic): your business name, trade or business type, service description, service areas, and any certifications or accreditations you have entered. We do not send your personal contact details, payment information, or any data beyond what is necessary to generate the website content.
Data minimisation. We only share the minimum data required with Anthropic to fulfil the generation request. We do not send your email address, login credentials, billing details, or any sensitive personal data to the AI system.
Anthropic's data handling. Anthropic does not use data submitted via the API to train its models. API inputs and outputs are not retained by Anthropic beyond the duration of the request, except as required for safety monitoring under their usage policies. Your responsibility. Do not enter sensitive personal data (such as customer records, medical information, or financial details) into the website builder. The platform is designed for business profile information only.
6. Acceptable Use
You must not use our services to:
- Publish content that is illegal, harmful, harassing, or discriminatory
- Infringe intellectual property rights of third parties
- Send spam or unsolicited communications
- Attempt to gain unauthorised access to our systems
- Impersonate another person or organisation
- Engage in any activity that could damage, overload, or impair our platform
We reserve the right to remove content or suspend accounts that violate these rules without notice.
7. Intellectual Property
Your content. You retain ownership of all content you provide to us (business descriptions, logos, photos). You grant us a licence to use this content to deliver the services.
Generated websites. Once published, you own the website content generated for you. Our underlying platform, code, templates, and AI systems remain our intellectual property.
Our brand. You may not use the Webmatx name, logo, or trademarks without our prior written consent.
8. Professional Services
Bespoke development projects (CRM, mobile apps, AI agents, etc.) are governed by separate written agreements ("Project Agreements") that specify scope, deliverables, timeline, and payment. These Terms apply to the extent not superseded by a Project Agreement. Intellectual property ownership for bespoke projects will be specified in the relevant Project Agreement.
9. Uptime and Service Availability
We aim to maintain 99.9% uptime for hosted websites but do not provide a formal SLA on Starter or Pro plans. We carry out maintenance with reasonable advance notice where possible. We are not liable for downtime caused by third-party infrastructure providers (Vercel, Cloudflare, Supabase) or events outside our reasonable control.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential losses including loss of revenue, profits, or business opportunity
- Our total liability to you arising from these Terms or any service shall not exceed the total fees paid by you to us in the 12 months preceding the claim
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law
11. Indemnity
You agree to indemnify and hold harmless Webmatx and its officers, employees, and agents from any claim, loss, or expense (including legal fees) arising from your breach of these Terms, your content, or your misuse of our services.
12. Termination
Either party may terminate the service at any time. On termination: your access to the platform ceases, your website will be taken offline, and your data will be retained for 30 days then deleted (except where we are legally required to retain it). You may request an export of your website content before termination.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance. The current Terms are always available at webmatx.com/terms.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
